Our Corporate and Commercial Practice is supported by its own Corporate Secretarial Department, which enables us to offer our clients a comprehensive range of in-house corporate secretarial support services for private, public, foreign, as well as listed companies in a timely and cost–efficient manner.

Our pool of professional secretaries and experienced support staff will provide you with advisory services on requirements under the Companies Act, Bursa Securities Listing Requirements and all other prevailing regulations in ensuring a high standard of reporting, disclosure and compliance.

Apart from providing company secretaries, the Department's services include the incorporation of companies, applications for the registration of branch offices of foreign corporations, obtaining of approvals for representative offices, regional offices and operational headquarters.

Through our network with other service providers in the region, the Department may also act as your regional coordinator for Corporate Secretarial services.

For newly started-up companies, the Department further extends its services to include assisting them in securing premise licenses from the various local authorities, registration with various institutions like the Social Security Organisation (SOCSO), Employees Provident Fund (EPF), Ministry of Finance etc.

Authentication of Company’s Documents
Limited to companies under the firm’s secretarialship clients.
Branch registration
For foreign companies intending to have a presence in Malaysia, the firm can assist in the registration of their branch and the maintenance of such entities
Company Searches & Other Related Services
The firm also assists in procuring official company searches as issued by the Companies Commission of Malaysia. Other services like Bankruptcy and Winding-up searches are also provided.
Company Secretary
In accordance with the provisions of the Companies Act, 1965, every company must have at least one Company Secretary. Clients may engage the firm to provide the services of company secretaries for their respective companies. The firm provides two named company secretaries for all their secretarial clients.
Core to the secretarial services provided by the firm is the advisory services to ensure compliance by clients to the provisions of the Companies Act, 1965 and if applicable the Listing Requirements of Bursa Malaysia Securities and Securities Industry Act 1983.
Corporate Representatives
Clients, especially foreign clients, may also engage the firm’s appointees to serve as their corporate representative in Malaysian companies. These appointees will act on the instruction of the client accordingly.
Directors’ Meeting
The secretarial services provided to clients include attendance to Director’s Meetings as well as taking minutes of the proceedings thereof.
Incorporation of Companies
The firm assists clients in incorporating companies limited by shares as well as for companies limited by guarantee.
Minutes and Resolutions
Minutes and Resolutions of secretarial clients are prepared and maintained by Company Secretaries provided by the firm.
Similar to our engagement as the client’s corporate representative, the firm may also be engaged to provide proxies to attend any general meetings on behalf of the clients.
Registered Office
In compliance with the requirements of the Companies Act, 1965, clients may locate their respective Registered Office at the firm’s address. Besides maintaining all statutory documents at the Registered Office, the Registered Office will serve as the official address for correspondence with the Companies Commission of Malaysia.
Representative & Regional Office Applications
Under the ambit of the Malaysian Industrial Development Authority (MIDA), the firm may be engaged to assist clients in applying for the setting up of Representative & Regional Offices in Malaysia.
Shareholders’ Meetings
Besides handling shareholders’ meetings for its secretarial clients, non-secretarial clients may also engage the firm to attend shareholders’ meeting in their stead as proxies.
Shelf Companies
Clients requiring a fast track establishment in Malaysia may acquire shelf companies specifically incorporated for this purpose. By having these shelf companies available for sale, clients may have their establishment in the country as fast as within 48 hours.
Statutory filings
Being your secretarial agent, the firm undertakes to make all statutory filings as required by the provisions of the Companies Act, 1965.
