Our Real Estate Practice Group provides a full range of corporate real estate services encompassing all aspects of property acquisitions, divestments, property-related joint-ventures, sale and leaseback, mixed developments, mergers and acquisitions involving real estate companies, leases and tenancies and the associated legal due diligence exercises.

Our Real Estate team with its depth and breadth of experience have advised on many of the largest property transactions involving large scale mixed developments, shopping malls, office blocks, hotels, serviced apartments, factories and warehouses.

Our domestic and international clients rank among the top players in the industry and include listed property developers and other listed companies, private companies, offshore funds, cross-border institutional property investors, developers, financial institutions and multi-national corporations.

Our breadth of experience combined with extensive resources enable us to form a real estate team with the appropriate skills and expertise in providing advice of the highest quality. Our team is very dedicated and committed to working within short deadlines that clients are sometimes faced with.

As an integral part of this area of practice, we also advise on regulatory approvals from government and statutory bodies including the Economic Planning Unit, Prime Minister's Department, Bank Negara Malaysia (the Central Bank of Malaysia), State Authorities and the Estate Land Board, and assist clients in making such applications.

We advised S P Setia Berhad in respect of its joint-venture with Sime Darby Berhad and The Employees Provident Fund Board of Malaysia in their acquisition of the Battersea Power Station in London for the purchase price of £400 million, which the joint-venture is re-developing into a mixed residential and commercial development.

We acted for Eco World Development Group Berhad in (a) the acquisitions of (i) 2 companies from Eco World Development Sdn Bhd and (ii) the development rights of 8 projects with a combined gross development value (GDV) of RM30 billion from subsidiaries of Eco World Development Sdn Bhd, for a total net consideration of RM1.78 billion; and (b) the subscription of shares in Eco World by the shareholders of Eco World Development Sdn Bhd to partially fund the said acquisitions.

Leases and Tenancies
We act for a number of leading shopping mall owners, property developers, property holding and investment companies and financial institutions.

We deliver a range of services, and have considerable experience in, tenancy agreements and leases particularly for shopping malls, office blocks, other commercial properties, industrial properties and residential properties in Malaysia. We also advise on landlord & tenant issues.
Mergers and Acquisitions Involving Real Estate Companies
We regularly act for clients who acquire shares in real estate companies, and this, of course, involves the preparation and negotiations of the Share Sale & Purchase Agreements, the legal due diligence exercise for acquisitions of companies and all issues arising from such transactions.

Where the transaction involves the acquisitions of only part and not all of the share capital in the real estate company, we will prepare and negotiate the terms of the relevant Joint Venture cum Shareholders’ Agreements between the seller(s) and the buyer of the shares.
Property Acquisitions & Divestments and Sale & Leaseback
We are involved from the letter of offer or memorandum of understanding stage, moving on to due diligence, negotiations of the terms of sale and purchase agreements and other related agreements, advising on requisite regulatory approvals, attending to the novation and assignments of existing tenancy agreements and other service agreements that are taken over by the purchasers. We take the matters not only to completion of the acquisitions or divestments but also advise clients regularly in post-completion property-related issues.

Some of our transactions involve the sale of properties to the purchasers who then lease the properties back to the sellers of the properties, and such transactions, therefore, involve the preparation and negotiations of the terms of the leases.

We also prepare tender documents for properties sold by tender and advise clients who purchase properties from tender exercises as well as auctions.
Property-related Joint-Ventures and Property Developments
Our clients range from property developers to landowners involved in joint ventures with property developers. We advise on the regulatory requirements for property developments and are familiar with the requirements of property joint ventures. We have acted in development agreements involving State Governments and joint ventures involving funds.

In the joint-venture transactions, we are familiar with the terms and conditions that are normally required for Shareholders’ Agreements.
